Companies Consolidation Bill

PwC

What’s happening?

The Companies Acts 1963-2013 will shortly be replaced by a new Consolidated Companies Act. It is expected that the new Companies Act will commence in early 2015 and it is the largest piece of legislation ever to go through the Oireacthas.

What will it mean for your company?
All owners of private companies will be affected to some extent.  In many instances, there may be a requirement to draft a new constitution to replace the company’s Memorandum and Articles of Association. Some owners may wish to opt to convert the existing company into a new form of company called a Designated Activity Company.
